NordLocker Business Customer Referral Program Terms and Conditions

Nord Security Inc. (“we” or “Nord”) offers the US users of NordLocker services (“user(s)” or “you”) the opportunity to earn a reward by referring the US company they are employed at to try the NordLocker Business services as described in more detail below.

These Terms and Conditions of NordLocker Business Customer Referral Program (“Terms”) apply to the user’s participation in the NordLocker Business Customer Referral Program (“Program”). By participating in the Program, the user agrees to use the Program as outlined herein, and consistently with any other terms we may apply to the Program. If you do not agree to these Terms in their entirety, please do not participate in the Program.

If mandatory laws of your country or state set certain restrictions for such a Program, please refrain from participating in it.

Eligibility

The user who refers the company s/he is employed at to the Program is a “Referrer”; the company who is referred is a “Referred Customer”.

Referrers must be, and, therefore, Referrer hereby confirms, represents, and warrants to Nord that s/he:

  1. is at least 18 years old;

  2. is US consumer;

  3. has an existing and valid subscription to Nord services, and a valid (not expired) Nord services user account;

  4. is employed in the US company that is being referred.

When registering for the Program, Referrers must use the same email address that is registered with their existing NordLocker user account. We reserve the right to determine if the Referrer's user account is valid based on the mentioned criteria.

Employees of Nord, its subsidiaries, affiliates, and parent companies are not eligible to participate.

How it works

To participate in the Program, Referrers should visit https://nordlocker.com/refer-business/ and follow the on-screen instructions to submit a referral to the Program by entering the required contact information in the relevant fields.

In the event an active Referrer aligns better with the NordLocker Affiliate Program, Nord reserves the right to offer her/him to migrate to the NordLocker Affiliate Program.

If the referral meets all qualified referral conditions described in these Terms, the eligible Referrer might receive a Reward detailed below.

Qualified Referral

A “Qualified Referral” is a referral that fulfills all conditions set out below:

  1. The Referrer can only refer the US company s/he is employed at. In addition, only official business email addresses (i.e., no personal email addresses) of the person in charge of the Referred Customer can be submitted;

  2. The Referred Customer must be a first-time customer of NordLocker Business (i.e. have not previously signed up for a NordLocker Business account), and eligible to create a NordLocker Business account;

  3. Referred Customer must access and purchase the NordLocker Business subscription:

    1. through the email link Referred Customer received because of the Referrer’s Qualified Referral submission;

    2. within 3 months after the Referrer makes Qualified Referral submission (unless otherwise approved by Nord individually or the Program is terminated by Nord earlier (in such event - until the termination of the Program));

    3. for at least 2TB storage 12 months subscription plan, with at least 2 end-user accounts.

Acceptance of a referral by Nord as a Qualified Referral is based upon verification that the Referred Customer and its contact are legitimate (i.e., meet requirements indicated in these Terms and comply with all applicable laws). Notwithstanding anything to the contrary in these Terms, Nord reserves the right to not accept a referral for any reason at any time. We are not obligated to, and will not disclose to the Referrer reasons why a referral has not been deemed as a Qualified Referral.

Referrers hold the sole responsibility to ensure their own Internet access and technical systems’ proper functioning to upload, submit or update any data proving their eligibility to participate in the Program or the submission of a Qualified Referral. Nord shall not have the obligation to review eligibility or referral qualification in case any Referrer was for any reason unable to submit a referral, claim award, send or upload any data in any systems proving the eligibility or referral qualification.

Reward

The monetary value of the Reward depends on the amount of the end-user accounts the Referred Customer acquired. Therefore, the Reward for the Qualified Referral shall be as follows (“Reward”):

  1. NordLocker Premium Plan of 1 TB storage for 1 year for the Referrer for free; and

  2. Amazon gift card worth:

    1. $100 if the Referred Customer acquired at least 2, but no more than 5 end-user accounts at the moment of signing up for the NordLocker Business subscription; or

    2. $300 if the Referred Customer acquired more than 5 end-user accounts at the moment of signing up for the NordLocker Business subscription.

Please consult all the terms and conditions applicable to the Amazon gift cards, including but not limited to, provided at https://www.amazon.com/gp/help/customer/display.html?nodeId=GNG9PXYZUMQT72QK. Do not participate in the Program or claim your Reward if you do not agree with any applicable conditions of the relevant Amazon gift cards.

Nord reserves the right to award the Referrer with an Amazon gift card from any official Amazon website regardless of the locations or Amazon markets the gift card can be used at. Nord makes no representations or warranties on behalf of Amazon or Nord related to the Amazon cards, including but not limited to, that they will be relevant, possible to claim and use.

We do not provide this Program for referring NordLocker Business services to random customers that might purchase the services without the intent of keeping them. Therefore, to ensure Referrers do not target such clientele, the Reward will be provided to the Referrer:

  • not earlier than 30 days after closing the deal of Qualified Referral with the Referred Customer; and
  • only if the Referred Customer did not exercise its right to claim a refund within 14 days following the initial purchase of NordLocker Business services based on Qualified Referral.

The Reward (or the link to the Reward) will be sent to the email address that Referrer provided when submitting the referral.

Please note, that the Referrer may receive only 1 Reward for 1 verified Qualified Referral regardless of the number of Referred Customer’s subsidiaries, affiliates, and parent companies. In the event Nord receives more than 1 referral regarding the same Qualified Referral (including its subsidiaries, affiliates, and parent companies), only the Referrer who sent the first referral (complying with these Terms) regarding such Qualified Referral will have the right to receive a Reward.

The Reward or its use may be taxable, depending on the local tax laws applicable to the Referrer. In addition, Referrers are solely responsible for reporting the Reward to responsible authorities and/or paying any associated tax, levy, or similar contribution that would result from the receipt of the Reward in his/her favor based on these Terms (if needed).

Fraudulent and suspicious behavior

While Nord is the actual sender of the referral email, each Referrer must nonetheless comply with applicable laws, including anti-spam and privacy laws. Referrers who do not comply with the law are obligated to indemnify Nord and all of the released parties (as described below) against any liabilities, costs, and expenses incurred as a result of such violation.

Nord has a no-tolerance spam policy. Spam, bulk referrals, distribution to strangers, the use of purchased or harvested referral lists, or other fraudulent promotion of a Program is prohibited. The Referrer should not engage in any misleading, deceptive, annoying, or harassing practices with respect to referrals or Program communications. Any attempts to use the Program in a questionable manner, violation of these Terms or applicable laws will be grounds for immediate exclusion from the Program or even termination of the user's account.

If Referrer designates a referral email address that has previously opted out of receiving our marketing emails, the referral email to such email address might not be sent. Nord is not required to notify the Referrer whether or not an email to a Referred Customer was sent.

Referrers may not enter with multiple or fake email addresses or accounts, use fictitious identities to participate in the Program or receive the Reward. Nord may prohibit the Referrer from participating in the Program or receiving the Reward, in Nord’s sole discretion, if Nord determines that such Referrer is attempting to undermine the fairness, integrity, or legitimate operation of the Program in any way by cheating, hacking, deception, or any other unfair practices or violates these Terms in any way.

Privacy

Participation in the Program requires Referrers to submit personal information about themselves (full name, email address of NordLocker user account, and the company they are employed at), and about the representative (person in charge) of the Referred Customer (full name and business email) so that Nord could 1) reach out to the Referred Customer on the Referrers’ behalf; 2) disclose to the Referred Customer (and its representative) that it was referred by the Referrer by providing full name of the Referrer; 3) contact Referrers with regards to their participation in the Program and/or provision of the Reward. The personal information collected, processed, and used as part of the Program will be used in accordance with Nord's Privacy Policy which is available for review at https://business.nordsec.com/legal/privacy-policy (“Privacy Policy”).

Each Referrer commits to share with Nord and/or submit to the Program only the information that is lawfully obtained (including, where necessary, by obtaining consent from the person in charge of the Referred Customer and informing her/him about the Program, Terms, and Privacy Policy).

Before submitting any referrals and/or providing any information, Referrer shall make sure any such disclosure does not contain any commercially sensitive data, is in line with and does not breach any applicable privacy laws, fair competition rules, third persons’ rights, confidentiality and non-disclosure obligations and any other legal requirements and public or private interests. The Referrer shall not make any disclosures if that is not in line with any of the aforementioned legal requirements or public and private interests.

In the spirit of transparency and privacy, Nord will comply with any written request from the Referred Customer or its representative to refrain from any further communication and/or delete such representatives’ personal data.

Indemnification

Except where prohibited, you agree to release and hold harmless Nord and its respective parent companies, affiliates, and subsidiaries, together with their respective employees and any person or entity associated with the production, operation, or administration of the Program, from any and all damages, costs, expenses, claims or liabilities of any kind, including third–party claims, whether pending or threatened, including without limitation, attorneys’ fees and court costs, incurred by any of them arising out of or related to your participation in the program, disclosure of any information and personal data or breach of these Terms.

NORD DOES NOT MAKE ANY PROMISES OR COMMITMENTS ABOUT THE PROGRAM, SUCH AS THE SPECIFIC FUNCTION OF THE PROGRAM, OR ITS RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. TO THE EXTENT PERMITTED BY LAW, NORD EXCLUDES ALL WARRANTIES, EXPRESS, STATUTORY OR IMPLIED.

Limitation of liabilities

NEITHER NORD, NOR ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES, NOR ANY OF THEIR EMPLOYEES, OFFICERS OR DIRECTORS, SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR OTHER DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF DATA OR INFORMATION OF ANY KIND, LOSS OF BUSINESS, LOST PROFITS, INTERRUPTION OF BUSINESS, COST OF COVER OR ANY OTHER DAMAGES) ARISING OUT OF OR IN ANY WAY RELATED TO THESE TERMS, THIS PROGRAM OR THE REFERRAL, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, THE TOTAL AGGREGATE LIABILITY OF NORD ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED $50 AND SHALL NOT INCLUDE ATTORNEY FEES OR COURT COSTS IRRESPECTIVE OF ANY LAWS OR STATUTES THAT MAY PRESCRIBE OTHERWISE. YOU ACKNOWLEDGE THAT THIS AMOUNT REFLECTS THE ALLOCATION OF RISK SET FORTH IN THE TERMS AND THAT NORD WOULD NOT HAVE ESTABLISHED THIS PROGRAM WITHOUT THE LIMITATIONS ON ITS LIABILITY CONTAINED IN THIS SECTION.

Some jurisdictions restrict or do not allow the limitation of liability in contracts (e.g., limitation of liability for death or personal injury caused by the other party's negligence, fraud, or fraudulent misrepresentation, willful misconduct, or gross negligence). As a result, the respective provisions of this Section may not apply to you. In cases where such restrictions on the limitation of liability apply, the liability of Nord shall be limited to the fullest extent permitted by certain applicable law.

Modifications

The Program is administered by Nord. Your participation in the Program is completely voluntary. Nord may at any time in its sole discretion revise, modify, extend or cancel these Terms and/or the Program without any reason or liability. The most recent version will always be posted on https://nordlocker.com/business-referral-terms-conditions. Revised Terms, if not stated otherwise, will become effective from the day they are updated.

GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law. These Terms will be governed by the law of England and Wales except for its conflicts of laws principles. However, some countries (including countries of the European Union) have laws that require contracts to be governed by the mandatory provisions of the local laws of the consumer's country. In such cases, mandatory provisions of the local laws of your country of residence apply.

Out-of-Court Resolution of Disputes. We always strive to address your concerns without needing a formal legal case. Before filing a claim against Nord, please try to resolve the dispute informally by sending us a written notice of dispute at [email protected] that includes your name, a detailed description of the dispute, and the relief you seek. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved, you or Nord may bring a formal proceeding.

Judicial Resolution of Disputes. You and Nord agree that any judicial proceeding to resolve claims relating to the Terms will be brought in the courts of England and Wales in London, United Kingdom. If you reside in a country (including countries of the European Union) where laws provide consumers the right to bring disputes in their local courts, in such cases, mandatory provisions of the local laws of your country of residence apply.

Online Dispute Resolution in the EU. If you are a consumer, you may report the dispute to a consumer dispute body in your country of residence, in accordance with local regulations and practices. If you reside in the European Economic Area or Switzerland, the European Commission provides an online dispute resolution platform, which you can access here: https://ec.europa.eu/consumers/odr.

Miscellaneous

If not explicitly provided by Nord otherwise, these Terms shall have prejudice before all the other marketing materials and otherwise provided information regarding the Program.
